1. Agreement to Terms
Shipto (the "Service") is operated by UJU Pty Ltd t/a Metorik (ABN 76 616 391 925) ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use the Service. We may update these terms from time to time, and we will provide at least 30 days' notice of material changes. Your continued use of the Service after changes take effect constitutes acceptance of the revised terms.
2. Service Description
Shipto provides a post-purchase tracking and branded shipping notification platform that integrates with Shopify stores. The Service allows merchants to:
- Display branded tracking experiences to customers
- Plug in carrier networks and manage shipment visibility
- Set up automated customer notifications
- Collect upsell and analytics data from the post-purchase window
3. Fair Use
You must use the Service responsibly and not abuse it — for example, by injecting fake or misleading data, misusing notification systems, or sending spam through the Service. We reserve the right to restrict, suspend, or remove access where we reasonably suspect abuse.
4. Acceptable Use
You agree to:
- Use the Service only for lawful purposes and in accordance with all applicable laws
- Maintain the confidentiality of your account credentials
- Provide accurate, complete, and current information in your account
- Comply with all applicable laws regarding customer data and privacy
- Not use the Service to harass, abuse, or harm any person or entity
- Not attempt to interfere with or disrupt the Service's infrastructure
Certain activities and industries may be restricted from particular features where third-party providers or sender-reputation requirements demand it.
5. Accounts & Data
You are responsible for maintaining accurate account information and for safeguarding your password and API keys; we encourage enabling two-factor authentication where available. You own the content you provide to Shipto, including customer data, branding assets, and store configuration. By using the Service, you grant us a non-exclusive, worldwide, royalty-free license to use that content solely to provide and improve the Service, including anonymised, aggregated analysis. We are not liable for loss of data, and you should maintain your own backups of any critical information.
6. Payment & Subscription
Paid plans are billed in advance on a recurring basis through the Shopify Billing API, with usage-based charges applied for shipments beyond your plan's allowance. You approve subscription and usage charges in your Shopify admin, and you can upgrade, downgrade, or switch to the free plan from within the Shipto app. Fees are non-refundable except where required by law. You may cancel at any time; cancellation takes effect at the end of the current billing period, and your right to use paid features ends at that time.
7. Intellectual Property
All content, features, and functionality of Shipto are the exclusive property of UJU Pty Ltd t/a Metorik, its licensors, or other providers, and are protected by copyright, trademark, and other laws. You may not reproduce, distribute, transmit, or use any of it without our prior written consent.
8. Links to Other Websites
The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for their content, privacy practices, or any damage resulting from their use. You should independently review the terms and policies of any external service you use.
9. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or profits, even if we have been advised of the possibility of such damages. Our total liability to you shall not exceed the fees paid by you in the twelve months preceding the claim.
10. Disclaimer of Warranties
The Service is provided on an "as-is" and "as-available" basis without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. Your use of the Service is at your own risk.
11. Termination
We may suspend or terminate your access immediately, without prior notice, for any breach of these terms. Either party may terminate the service at any time. Upon termination, your right to use the Service ceases immediately, though provisions that by their nature should survive termination will continue to apply. We may retain data for backup and archival purposes as permitted by law.
12. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of that jurisdiction. Our failure to enforce any right does not constitute a waiver, and if any provision is found invalid, the remaining provisions continue in effect.
13. Changes
We may modify these terms at our discretion and will provide at least 30 days' notice of material changes. Continued use of the Service after the revised terms take effect signifies your acceptance.
